Terms of Service

1. Agreement to Terms
By accessing and using the VoyGeo Provider Platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all providers, vendors, partners, and other users who register on the platform to offer event services, travel services, or related offerings.
2. Provider Account
Registration: You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any breach of security or unauthorized use of your account.
Eligibility: You must be at least 18 years old and legally able to enter into contracts. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
3. Provider Services
Service Listings: You may create listings for event services, travel services, and related offerings. You are solely responsible for the accuracy, quality, and legality of your listings, including descriptions, pricing, availability, and media content.
Service Delivery: You are solely responsible for fulfilling all bookings and delivering services as described in your listings. You must comply with all applicable laws, regulations, licenses, and permits required to provide your services.
Availability: You must maintain accurate availability calendars and respond to booking requests in a timely manner. Failure to do so may result in account suspension or termination.
Prohibited Services: You may not list or provide services that are illegal, fraudulent, misleading, or violate the rights of others. This includes but is not limited to services involving illegal activities, counterfeit goods, or prohibited items.
4. Payments and Fees
Platform Fee: VoyGeo charges customers a 5% platform fee per transaction. This fee is separate from your service pricing and is paid by the customer. You are responsible only for standard Stripe processing fees.
Payment Processing: Payments are processed through our third-party payment processor, Stripe. By using the Service, you agree to Stripe's terms and conditions. You are responsible for connecting your bank account and maintaining accurate payment information.
Payouts: Payouts are processed automatically within 2-5 business days after service completion. VoyGeo is not responsible for delays caused by banking institutions or payment processors.
Taxes: You are solely responsible for determining and paying all applicable taxes on your earnings. VoyGeo does not withhold taxes from provider payouts unless required by law.
Pricing: You set your own pricing for services. Prices must be accurate and clearly stated. You may not engage in price manipulation, false discounting, or other deceptive pricing practices.
5. Cancellations and Refunds
Provider Responsibility: You are solely responsible for establishing and enforcing your own cancellation and refund policies. Your policies must be clearly stated in your service listings and communicated to customers before booking confirmation.
Fair Practices: Your cancellation and refund policies must be fair, reasonable, and comply with applicable consumer protection laws. You must honor the policies you set.
Provider Cancellations: If you cancel a confirmed booking, you may be subject to penalties, negative reviews, and potential account suspension or termination.
Platform Role: VoyGeo may facilitate dispute resolution between providers and customers but is not responsible for refund determinations or enforcement.
6. Intellectual Property
Your Content: You retain all rights to the content you upload to the Service, including photos, videos, descriptions, and other materials. By uploading content, you grant VoyGeo a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with the Service.
VoyGeo Content: The Service and its original content, features, and functionality are owned by VoyGeo and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
7. Liability and Insurance
Provider Responsibility: You are solely responsible for your services and any injuries, damages, or losses arising from your services. You agree to maintain appropriate insurance coverage for your business activities.
Platform Limitation: VoyGeo acts as a platform connecting providers with customers. We do not provide, operate, control, or manage any provider services. We are not responsible for provider conduct, service quality, or any issues arising from provider-customer transactions.
Indemnification: You agree to indemnify and hold harmless VoyGeo, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your services, your violation of these Terms, or your violation of any rights of another.
8. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Violating laws, regulations, or third-party rights
- Providing false, inaccurate, or misleading information
- Engaging in fraudulent or deceptive practices
- Circumventing or manipulating the platform fee structure
- Collecting customer information for unauthorized purposes
- Interfering with or disrupting the Service
- Using automated systems to access the Service without permission
- Discriminating against customers based on protected characteristics
- Harassing, threatening, or abusing other users
- Attempting to circumvent the platform by conducting transactions off-platform
9. Account Suspension and Termination
By VoyGeo: We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise harmful to VoyGeo.
By You: You may terminate your account at any time by contacting us. You remain responsible for all obligations accrued before termination, including pending bookings and payouts.
Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account information and content. Sections of these Terms that by their nature should survive termination will survive.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
VOYGEO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOYGEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL VOYGEO'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO VOYGEO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Dispute Resolution
Informal Resolution: If you have a dispute with VoyGeo, you agree to first contact us at contact@voygeo.com to attempt to resolve the dispute informally.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Arbitration: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law. You waive your right to a jury trial.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the new Terms on the Service and updating the "Last updated" date.
Your continued use of the Service after any changes constitute acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
14. General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and VoyGeo regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment: You may not assign or transfer these Terms without our prior written consent. VoyGeo may assign these Terms without restriction.
